Publisher Agreement
Readify
1. Parties and Acceptance
This Agreement is between Readify and the registered publisher or author (“Publisher”). By registering as a publisher and uploading content, you accept these terms in addition to the general Terms and Conditions.
2. Commission Structure
Publishers receive 80% of the net sale price of each ebook sold through the Platform. Readify retains a 20% commission. “Net sale price” means the price paid by the buyer excluding VAT and any payment processing fees charged by third-party providers. Commission rates may be updated with notice.
3. Rights and Warranties
Publisher warrants that it owns or has obtained all necessary rights, licences, and permissions to the ebook content (including copyright, trademarks, and any third-party material) and that the content does not infringe any rights or violate South African or other applicable law. Publisher grants Readify a non-exclusive, royalty-free licence to host, display, promote, and deliver the ebook to purchasers for the duration the content remains on the Platform.
4. Content Standards and Removal
Content must comply with our Publisher Guidelines. We may remove or suspend any content that we reasonably believe violates these terms, the law, or third-party rights, or that generates excessive refunds or complaints. We act on valid copyright takedown notices in accordance with the Copyright and Takedown Notices section of our Terms and Conditions, and we may remove content while a notice is investigated. Publishers must cooperate with those investigations and may submit a counter-notice as described in the Terms.
5. Payouts
Payouts will be made according to the schedule and minimum thresholds published in the Publisher Dashboard. Readify may withhold or offset amounts in respect of refunds, chargebacks, fraud, or taxes. Publisher is responsible for its own tax obligations on earnings.
6. Indemnity
Publisher indemnifies and holds Readify harmless against any claims, damages, costs, or expenses arising from the content uploaded or from any breach of this Agreement.
7. Term and Termination
Either party may terminate with notice. Upon termination, existing buyer licences remain valid, but no further sales will occur. Outstanding legitimate balances will be paid subject to offsets.
8. Governing Law
Governed by the laws of the Republic of South Africa.
